Scottie Resources Corp. (TSXV: SCOT) has launched a non-brokered private placement for gross proceeds of up to C$27 million, giving the Canadian gold developer additional financial capacity as technical studies and permitting progress at the Scottie Gold Mine Project in British Columbia’s Golden Triangle. The financing comprises up to 8,965,518 common shares at C$2.90 each and up to 322,581 flow-through shares at C$3.10. The transaction remains subject to regulatory approval, including approval from the TSX Venture Exchange.
Scottie Resources entered the announcement with 77.18 million shares outstanding and a September 10 closing price of C$3.07. If the placement is fully subscribed, approximately 9.29 million new shares would be issued, equivalent to about 12% of the existing share count and roughly 10.7% of the enlarged total. The ordinary placement price is approximately 5.5% below the unaffected September 10 close, while the flow-through price represents a modest premium.
Shares finished September 11 at C$3.00, down 2.3% on the session after the financing was announced. That left the stock above the C$2.90 ordinary placement price but below the previous session’s close, a relatively contained reaction given the potential increase in the company’s share count.
What will Scottie Resources use the C$27 million financing for?
Proceeds from the ordinary shares are intended for working capital and general corporate purposes, including technical studies and permitting work at the Scottie Gold Mine Project. Proceeds from the flow-through shares must instead be used for eligible Canadian exploration expenditures that qualify as flow-through mining expenditures in British Columbia, with the expenditures expected to be renounced to subscribers by the end of 2026.
That financing mix provides flexibility because development-oriented corporate spending and qualifying exploration expenditure are being funded through different share classes. The issued securities will be subject to a statutory four-month hold period, while Scottie Resources may pay eligible finder fees and issue finder warrants subject to TSXV rules. Insiders may also participate under the related-party provisions described by the company.
At the maximum C$27 million size, the financing is equivalent to roughly 21% of the C$129 million initial capital estimate disclosed in the project’s 2025 preliminary economic assessment. It therefore does not independently finance construction, but it is material relative to the project’s current development-stage capital requirements and could reduce near-term pressure to return repeatedly to equity markets while studies and permitting advance.
How significant are the existing Scottie Gold Mine Project economics?
Scottie Resources controls roughly 58,500 hectares within the Stewart Mining Camp and owns the historic Scottie Gold Mine, adjacent Blueberry Contact Zone, Georgia Project and several additional properties. Its current Scottie Gold Mine Project resource contains 703,000 ounces of gold in the inferred category at an average grade of 6.1 grams per tonne within 3.6 million tonnes.
The 2025 preliminary economic assessment examined both a direct-ship ore development scenario and a potential toll-milling route. Under the DSO scenario, the company reported an after-tax NPV at a 5% discount rate ranging from C$215.8 million at a US$2,600-per-ounce gold price to C$668.3 million at US$4,200 per ounce. The potential toll-milling case produced higher modelled values of C$380 million to C$832 million, although Scottie Resources explicitly noted that no toll-milling agreement is currently in place.
The same study estimated approximately 65,400 ounces of average annual gold production over seven years, with initial capital of C$129 million. Those economics help explain why additional spending on engineering, permitting and resource definition is strategically important: the financing is being deployed to move the project closer to a point where its conceptual economics can be tested against more detailed development work.
Does the Scottie Resources financing materially change the investment case?
The financing strengthens the balance sheet but also creates dilution, and those two effects need to be considered together. Full subscription would increase the share base by about one-eighth relative to the pre-financing count, yet it would also inject capital equivalent to more than one-fifth of the PEA’s estimated initial construction cost. That is a meaningful trade-off for a development-stage explorer whose valuation increasingly depends on converting high-grade resources into a permitted and financeable project.
Recent drilling adds another layer. Scottie Resources reported new Blueberry Contact Zone results on September 9 and had already exceeded 25,000 metres of drilling in its planned 50,000-metre 2026 program by August, meaning the financing arrives during an unusually intensive period of exploration and project definition.
The next valuation catalysts are therefore less about the financing itself than what Scottie Resources does with it. Resource expansion, technical-study progression, permitting milestones and any future processing arrangement will determine whether the capital translates into a more de-risked development proposition or simply increases the share count ahead of another lengthy exploration phase.
