Bank7 Corp. (NASDAQ: BSVN) has agreed to acquire 100% of Century Financial Services Corporation in a cash-and-stock transaction valued at approximately $137.3 million, expanding the Oklahoma City-based banking group into New Mexico and creating a combined Southwest franchise with roughly $3.3 billion in assets.

The definitive merger agreement announced on September 17, 2026 marks an important expansion of a transaction Bank7 had already been pursuing through a court-supervised receivership process. Earlier this month, Bank7 emerged as the successful bidder for an approximately 71% controlling stake in Century Financial Services Corporation, but the new agreement provides a preferred pathway to acquire the entire company instead.

Century Financial Services Corporation is the parent of Century Bank, one of the remaining independent banks headquartered in New Mexico. Founded in 1887, Century Bank operates eight full-service branches across New Mexico and two loan production offices in Dallas and Houston, giving Bank7 an established deposit and lending platform rather than requiring it to build a New Mexico presence organically.

How is Bank7 structuring the $137.3 million Century Financial acquisition?

Bank7 will acquire all outstanding Century Financial Services Corporation shares through a combination of cash and Bank7 common stock. The aggregate consideration consists of $70 million in cash plus 1,232,657 Bank7 shares, giving the transaction an implied value of approximately $137.3 million based on Bank7’s 10-day average closing share price of $54.57 through September 16.

Based on approximately 332,683 Century shares outstanding, each share would receive around $210.41 in cash plus 3.7052 Bank7 shares. Century shareholders who do not qualify as accredited investors will receive cash instead of Bank7 stock because the shares issued as consideration are expected to be distributed through a private placement.

The transaction is intended to qualify as a tax-free reorganisation for United States federal income tax purposes. Century Financial Services Corporation will merge into Bank7 Corp., after which Century Bank is expected to merge into Bank7 as part of the broader integration process.

Why did Bank7 switch from buying 71% of Century to acquiring the entire company?

Bank7 initially entered the Century transaction through an unusual court-supervised process involving shares held by a receiver. The company first agreed in July to act as the stalking-horse bidder for an approximately 71% controlling position and subsequently won the September auction with a $91 million bid, including a breakup-fee credit that reduced the effective cash purchase price to approximately $89 million.

Immediately following the auction, Bank7 and Century began negotiations over a whole-company combination. Acquiring 100% of Century provides a cleaner long-term ownership structure and avoids the governance complexity that could arise if Bank7 controlled the bank while substantial minority shareholders remained outside the transaction.

The existing receivership agreement has not disappeared. Bank7 has retained the right to pursue the previously agreed acquisition of the approximately 71% controlling interest if the full-company merger cannot be completed, giving the buyer an alternative route to establish control of Century.

What does Century Bank add to Bank7’s Southwest banking franchise?

Century Bank reported approximately $1.36 billion of total assets, $1.23 billion of deposits and $845 million of gross loans as of June 30, 2026. The deposit base is particularly important because stable customer deposits remain a critical source of funding for regional banks, especially when wholesale funding and deposit competition can become expensive during periods of changing interest rates.

Bank7 currently operates in Oklahoma, Texas and Kansas. Century gives the group immediate entry into New Mexico, with particular exposure to Santa Fe, while also complementing Bank7’s existing Texas operations through Century’s loan production offices in Dallas and Houston.

Bank7 plans to retain the Century Bank name and brand, suggesting the buyer sees value in the institution’s long-standing local identity. Century has operated since 1887 and has developed customer relationships across generations, giving Bank7 access to a franchise that would be difficult to replicate quickly through new branch openings alone.

Why is Century Bank’s $1.23 billion deposit base central to the deal?

The strategic value of a bank acquisition is often determined as much by deposits as by loans. Century’s approximately $1.23 billion deposit base provides Bank7 with a larger funding pool that can support future lending while potentially improving the combined organisation’s ability to manage funding costs.

Bank7 has specifically identified Century’s legacy core deposits as one of the transaction’s principal attractions. A well-established deposit franchise can become particularly valuable when customers maintain long-term operating accounts rather than constantly moving money in response to small changes in interest rates.

The transaction also creates opportunities to deploy Bank7’s lending capabilities across Century’s customer base while introducing Century relationships to products already offered elsewhere in Bank7’s network. The eventual financial benefit will depend on customer retention, deposit pricing and how efficiently the two organisations are integrated after closing.

What are the financial risks for Bank7 shareholders?

The transaction requires Bank7 to deploy $70 million of cash and issue more than 1.23 million new common shares. The stock component reduces the amount of cash needed to complete the acquisition but also expands Bank7’s share count, creating dilution for existing shareholders unless the earnings added by Century ultimately compensate for the additional equity.

Bank7 closed at $54.37 on September 16, down 1.38% for the session, before the full-company merger was announced the following morning. The shares have nevertheless traded substantially above their levels from earlier in 2026, giving Bank7 a stronger equity currency with which to finance part of the Century acquisition.

The larger challenge will be integration. Banking acquisitions can produce meaningful cost savings through overlapping technology, compliance, administrative and corporate functions, but poorly executed combinations can also lead to customer attrition, employee disruption and unexpected conversion costs.

What approvals does the Bank7 and Century Financial merger still need?

The transaction requires approval from Century Financial Services Corporation shareholders as well as banking regulators and the court involved in the existing receivership proceedings. Century directors and executive officers, the receiver and certain minority shareholders representing a substantial majority of Century’s outstanding shares have entered voting agreements supporting the merger.

Bank7 expects the acquisition to close during the fourth quarter of 2026, subject to those approvals and customary closing conditions. If the whole-company transaction fails, Bank7 can still attempt to complete its previously agreed acquisition of the controlling 71% stake.

The unusual dual-path structure reduces some of Bank7’s strategic uncertainty because the company already holds contractual rights associated with the controlling interest while pursuing the cleaner full-company acquisition. Even so, regulatory and court approvals remain necessary before either path can be considered completed.

Could the Century deal position Bank7 for more regional bank acquisitions?

The Century Financial Services Corporation transaction demonstrates how Bank7 is using accumulated capital to expand beyond its existing markets rather than relying exclusively on organic branch growth or shareholder distributions. Following completion, the approximately $3.3 billion-asset organisation would have a broader footprint across Oklahoma, Texas, Kansas and New Mexico.

That larger platform could eventually provide greater capacity for additional acquisitions across the Southwest, although integrating Century is likely to be the immediate priority. Regional banking remains fragmented, and well-capitalised institutions can use acquisitions to obtain deposits, experienced bankers and customer relationships much faster than building comparable franchises organically.

For Bank7, the most important test will be whether the $137.3 million purchase produces attractive earnings growth without weakening the financial discipline that enabled the company to accumulate the capital required for the transaction. Century offers a rare established New Mexico franchise and more than $1.2 billion of deposits, but the value ultimately created will depend on retention, integration and the returns Bank7 can generate from the enlarged balance sheet.
