Cloudflare, Inc. (NYSE: NET) is a San Francisco-based internet infrastructure and cybersecurity company whose global network sits between millions of websites, applications, corporate networks, developers and internet users. What started as technology for protecting and accelerating websites has expanded into a much broader connectivity-cloud platform encompassing content delivery, distributed denial-of-service protection, web application security, Zero Trust, secure access service edge technology, network connectivity, serverless computing, developer infrastructure and increasingly artificial intelligence workloads.
The infrastructure behind that strategy is difficult to replicate. Cloudflare’s network currently spans roughly 337 cities and directly interconnects with more than 13,000 service providers, cloud platforms and enterprise networks, while approximately 95% of the world’s internet-connected population is within 50 milliseconds of a Cloudflare location. Cloudflare also says it proxies roughly 20% of web traffic and operates more than 60 security, networking, performance and developer services on the same global architecture.
That scale is increasingly translating into financial growth. Cloudflare reported second-quarter 2026 revenue of $696.1 million, up 36% year over year, while current remaining performance obligations increased 35%. Management subsequently raised full-year 2026 revenue guidance to between $2.864 billion and $2.870 billion, alongside non-GAAP operating-income guidance of $443 million to $445 million.
The market is already pricing Cloudflare as something much larger than a conventional cybersecurity vendor. NET closed at $300.27 on August 7 after reaching an intraday record of $324.73, leaving the company with an equity-market value of roughly $106 billion at that completed session. With the shares moving again during August 10, Cloudflare remains firmly above the $100 billion valuation threshold despite continuing to report losses under generally accepted accounting principles.
That creates the central tension in the Cloudflare company profile. Investors are effectively betting that a network originally built to make websites faster and safer can become common infrastructure for enterprise cybersecurity, corporate networking, software development and the increasingly machine-driven internet created by artificial intelligence.
What does Cloudflare actually do and why is it difficult to classify?
Cloudflare has become difficult to place inside a single technology category because businesses that were historically supplied by separate security, networking and cloud-computing vendors increasingly operate through the same Cloudflare network. Its original offering focused heavily on web performance and protection, allowing customers to route traffic through Cloudflare for caching, domain-name services, attack mitigation and protection against malicious requests before they reached customer infrastructure.
That architecture subsequently expanded into application security, API protection, bot management, corporate networking and Zero Trust. Cloudflare One now combines capabilities including Zero Trust network access, secure web gateways, firewall-as-a-service and network-as-a-service, allowing organisations to replace or consolidate portions of legacy corporate networking and security infrastructure through an internet-native architecture.
The developer platform represents another significant expansion. Cloudflare Workers allows developers to execute software across Cloudflare’s distributed infrastructure, while products including Workers AI, AI Gateway, R2 object storage and D1 databases broaden the company’s role from transmitting and protecting applications to actually helping developers build and operate them.
The common thread is Cloudflare’s global network. Rather than maintaining separate infrastructure for every product family, Cloudflare attempts to deliver security, networking, application performance and developer services through the same distributed architecture. This creates the possibility that additional services can increase the economic value of infrastructure Cloudflare already operates while giving customers an opportunity to consolidate technology spending across fewer vendors.

How does Cloudflare make money when it offers so many services for free?
Cloudflare generates revenue primarily through subscriptions providing customers with access to its network, products and associated support services. Enterprise agreements typically run for one to three years, while pay-as-you-go arrangements are generally monthly. Certain developer and infrastructure services also incorporate usage-based charges linked to factors such as bandwidth, requests and consumption.
The free tier plays a different economic role. Millions of developers, websites and smaller internet properties can begin using Cloudflare without becoming substantial paying customers immediately, giving the company broad product distribution while generating enormous amounts of real-world network traffic. Cloudflare has historically argued that this traffic improves its threat intelligence, product development and interconnection economics while familiarising developers with its technology before some eventually become paying enterprise users.
This model can become particularly powerful when a developer or small company grows. A user who initially adopts Cloudflare for content delivery or a free developer service can later purchase application security, Zero Trust, storage, serverless compute or enterprise networking without migrating to an entirely different infrastructure platform.
Artificial intelligence could make that distribution mechanism more valuable because AI-assisted coding is dramatically increasing the speed at which new software is created. If a growing proportion of those applications begin life using Cloudflare’s developer tools, the company could acquire future enterprise workloads much earlier in their lifecycle.
Why are large enterprise customers becoming increasingly important to Cloudflare?
Cloudflare’s revenue growth is increasingly being driven by larger organisations that purchase several products and commit to longer contractual relationships. The number of customers generating more than $100,000 in annualised revenue reached 4,698 at June 30, 2026, up from 3,712 a year earlier, representing growth of approximately 27%.
The expansion of existing customers has also strengthened. Dollar-based net retention reached 120% in the second quarter compared with 114% a year earlier, indicating that the same customer cohort was collectively spending approximately 20% more after accounting for expansion, contraction and customer losses.
Contracted future revenue provides another useful signal. Remaining performance obligations reached approximately $2.732 billion at June 30, with Cloudflare expecting to recognise 64% of that amount during the following 12 months. Current remaining performance obligations increased 35% year over year during Q2, almost matching the pace of reported revenue growth.
Cloudflare’s enterprise opportunity therefore extends beyond selling more cybersecurity products. The company wants organisations to consolidate spending that might otherwise be distributed across content-delivery networks, application-security vendors, Zero Trust suppliers, networking companies and cloud-development platforms. Successful consolidation would increase customer lifetime value and make Cloudflare more deeply embedded within enterprise infrastructure, although it also places the company into direct competition with some of the largest technology vendors in the world.
Why is artificial intelligence changing the Cloudflare growth story?
Artificial intelligence is potentially reshaping both the demand moving through Cloudflare’s network and the applications running on it. AI systems increasingly generate machine-to-machine requests, call external APIs, retrieve data, execute software and communicate with other agents, creating a form of internet traffic that can be substantially different from traditional human browsing.
Cloudflare is positioning Workers, Workers AI and AI Gateway around this emerging architecture. Workers provides distributed execution, Workers AI allows models to run through Cloudflare infrastructure, while AI Gateway provides controls and observability around interactions with artificial intelligence providers. Cloudflare has also been expanding tools for agent identity, payments, search and the management of AI-generated traffic as it attempts to become an infrastructure layer for what management describes as the agentic internet.
Developer adoption provides one of the strongest early indications that this strategy is gaining traction. Cloudflare added approximately two million developers during Q2 alone, exceeding the roughly 1.5 million developers added throughout all of 2025, according to management figures reported following the earnings release. The platform ended the quarter with more than 7.4 million developers.
This does not mean two million additional developers immediately translate into substantial incremental revenue. Many can initially use free or inexpensive services, while artificial intelligence workloads can create meaningful infrastructure costs. The investment case therefore depends on Cloudflare converting developer enthusiasm into larger production workloads and enterprise contracts while maintaining attractive unit economics.
How do Replicate and VoidZero strengthen Cloudflare’s developer strategy?
Cloudflare has supplemented internal product development with acquisitions intended to deepen its position across the artificial intelligence and software-development lifecycle. In December 2025, the company acquired Replicate, Inc. for total cash consideration of $57.4 million, adding a platform that allows developers to deploy and run artificial intelligence models without managing the underlying infrastructure themselves.
The strategic fit places Replicate alongside Workers AI and Cloudflare’s broader developer platform. Rather than forcing developers to assemble separate model-hosting, networking, security and deployment systems, Cloudflare is attempting to bring more of those functions into one environment.
Cloudflare then acquired VoidZero in June 2026 for total purchase consideration of $164.2 million, comprising $98.7 million of Class A shares and $65.5 million of cash net of acquired cash. VoidZero develops high-performance JavaScript tooling associated with technologies including Vite, Vitest, Rolldown and Oxc, while Cloudflare has committed to keeping the core tools open-source and vendor-agnostic.
This acquisition reaches developers even earlier in the software lifecycle. If tools such as Vite increasingly connect naturally with Workers and Cloudflare deployment infrastructure, Cloudflare could gain distribution before an application reaches production. The challenge is preserving the independence and developer trust that made these open-source technologies successful while integrating them closely enough to produce strategic value for Cloudflare.
Why did Cloudflare reduce its workforce by about 20% while revenue growth accelerated?
Cloudflare announced a restructuring programme on May 7 designed to accelerate what management calls an agentic AI-first operating model, reducing approximately 20% of its workforce. The company now estimates total restructuring charges of up to $165 million, comprising approximately $125 million of cash severance and employee-benefit costs, $35 million of stock-based compensation and $5 million of other expenses.
Cloudflare recognised approximately $150.7 million of restructuring and related charges during the second quarter, accounting for much of the sharp deterioration in its GAAP operating result. The company expects the remaining charges to be recognised during the third quarter as the programme is substantially completed by September 30.
Management’s underlying argument is that artificial intelligence can improve internal productivity while allowing Cloudflare to operate with fewer organisational layers. If successful, this could produce meaningful operating leverage as revenue expands, particularly if engineers and sales teams can use AI agents to automate repetitive work.
The risk is equally clear. Cloudflare is simultaneously launching new AI products, integrating acquisitions, competing for large enterprise contracts and expanding its infrastructure footprint. Reducing one-fifth of the workforce during that expansion could strain product development, customer support and organisational execution if anticipated productivity improvements do not materialise.
What do Q2 2026 results reveal about Cloudflare’s margins and profitability?
Cloudflare’s second-quarter results illustrate the contrast between accelerating revenue growth and continuing GAAP losses. Revenue increased 36% to $696.1 million, while GAAP gross profit reached $499.5 million and gross margin declined to 71.8% from 74.9% a year earlier. Non-GAAP gross margin also fell, from 76.3% to 73.1%.
The gross-margin decline should be framed carefully. Cloudflare’s filing shows that cost of revenue increased 53%, including higher third-party technology-services expenses, colocation, network and bandwidth spending, and server depreciation as the company expanded capacity. Cloudflare is separately investing in additional computing infrastructure, including graphics-processing capacity for AI-related developer products, but the filing does not attribute the entire margin decline specifically to artificial intelligence.
GAAP operating loss widened to $205.7 million from $67.3 million, while GAAP net loss increased to $170 million from $50.4 million. The restructuring programme was a major contributor to that deterioration, making the headline GAAP comparison considerably worse than underlying operating trends alone would suggest.
The adjusted picture was substantially stronger. Non-GAAP operating income reached $96.1 million, representing a 13.8% operating margin, while non-GAAP net income rose to $107.8 million and diluted non-GAAP earnings reached $0.29 per share. Operating cash flow was $117.6 million and free cash flow reached $56.4 million, equivalent to an 8% free-cash-flow margin.
Stock-based compensation nevertheless remains significant. Cloudflare recorded approximately $159.9 million of stock-based compensation during Q2, compared with $122.4 million a year earlier, while unrecognised compensation associated with unvested restricted and performance stock units stood at approximately $1.14 billion at June 30. Investors comparing GAAP and adjusted profitability should therefore continue considering the economic effect of equity compensation.
Why does FedRAMP High matter for Cloudflare’s enterprise security strategy?
Cloudflare added a significant new regulatory milestone on August 10 when Cloudflare for Government achieved FedRAMP Class D (High) certified status, following sponsorship by the United States National Institute of Standards and Technology. The certification applies to environments handling some of the most sensitive categories of unclassified federal information, including workloads connected with areas such as law enforcement, emergency services and national-security functions.
The milestone expands the addressable market for Cloudflare’s security and networking platform within the United States public sector while potentially strengthening its credibility with highly regulated commercial customers. Cloudflare already worked with federal organisations under its earlier Moderate authorisation, but the High certification allows the company to compete for more sensitive workloads.
Cloudflare also said it intends to use the systems developed for FedRAMP High as the basis for pursuing United States Department of Defense Impact Level 4 authorisation. That authorisation has not yet been obtained, so it should be described as a future objective rather than an existing permission.
Strategically, FedRAMP High reinforces Cloudflare’s broader argument that the same global platform can serve public-sector, enterprise-security and commercial workloads rather than requiring entirely separate infrastructure stacks. Whether that translates into material revenue will depend on actual contract wins, but the certification removes an important barrier to competing for higher-sensitivity federal workloads.
How strong is Cloudflare’s balance sheet before the 2026 convertible notes mature?
Cloudflare ended June with $1.664 billion of cash and cash equivalents and approximately $2.499 billion of available-for-sale securities, giving it combined cash, cash equivalents and securities of about $4.163 billion. The company also had access to a $400 million revolving credit facility with no loans outstanding at June 30.
This liquidity is particularly relevant because approximately $1.294 billion of 0% convertible senior notes mature on August 15, 2026. The notes carry an initial conversion price of approximately $191.34 per share, substantially below NET’s recent market price, and Cloudflare has elected combination settlement under which the principal of converted notes is paid in cash while value above principal is settled in Class A shares, subject to the contractual terms.
At June 30, when NET closed at $245.28, the if-converted value of those notes exceeded principal by approximately $364.7 million. Cloudflare also has associated capped-call transactions designed to offset, at least partly, shares issued for conversion value above principal, although the ultimate result depends on share prices and settlement mechanics.
Cloudflare additionally has $2 billion of 0% convertible notes due in 2030, carrying an initial conversion price of approximately $247.67 per share. The balance sheet therefore contains substantial financial flexibility, but equity-linked financing and stock-based compensation mean investors should continue monitoring dilution alongside headline cash generation.
Why is Cloudflare proposing another $2.175 billion convertible-note offering?
Cloudflare added another important financing development on August 10 by announcing a proposed private offering of $2.175 billion of convertible senior notes due 2031. The company also expects to give the initial purchasers an option to buy up to another $325 million, meaning the transaction could reach as much as $2.5 billion if that option is exercised in full.
The proposed notes are senior unsecured obligations and will pay semi-annual interest, but their interest rate, conversion rate and other economic terms had not yet been determined when Cloudflare announced the offering. They are expected to mature on August 15, 2031 and may ultimately be settled in cash, Class A shares or a combination of the two at Cloudflare’s election.
Cloudflare intends to use part of the proceeds for capped-call transactions intended to mitigate potential dilution, with the remaining proceeds available for general corporate purposes including working capital, capital expenditure, repayment of debt and potential acquisitions or strategic transactions. Because the offering was still proposed and subject to market conditions at the time of this profile, it should not be described as completed or as $2.175 billion of cash already received.
The timing is noteworthy. Cloudflare is approaching the maturity of its 2026 convertible notes while simultaneously investing in network capacity, AI infrastructure and acquisitions. Raising long-duration capital when NET trades near record levels could give management substantial strategic flexibility, but any convertible financing also creates potential future dilution and complicates an already equity-intensive capital structure.
What does the NET share price reveal about investor sentiment after Q2 2026?
Cloudflare shares closed at $300.27 on August 7, rising 5.57% from the previous session after the company reported Q2 results and raised its annual outlook. The shares reached $324.73 intraday, establishing the upper end of a 52-week range that currently extends down to $158.83.
The stock was approximately 6.2% above its August 3 close of $282.74 and 11.7% above the July 7 close of $268.83. This corrects the earlier draft, which incorrectly used the July 6 closing price of $247.55 as the July 7 comparison. NET was also approximately 52% above the $197.15 level at which it ended 2025.

The stock has continued moving during the August 10 session, with the market capitalisation around $108 billion intraday, which is why a headline referring to a “$100 billion-plus” company is more publication-durable than anchoring the profile to one precise market-cap figure.
A conventional trailing price-to-earnings ratio is not particularly useful because Cloudflare remains loss-making under GAAP. Using approximately $106 billion of equity market value at the August 7 close and the midpoint of the company’s $2.864 billion to $2.870 billion full-year revenue guidance produces an illustrative equity-market-value-to-guided-revenue ratio of roughly 37 times. This is not an enterprise-value multiple and does not adjust for cash, securities, convertible debt or potential dilution, but it illustrates the extraordinary growth expectations embedded in NET.
Investor sentiment therefore appears strongly positive on the company’s growth prospects but highly demanding on execution. Cloudflare does not merely need to continue growing; at this valuation, the market is effectively expecting years of rapid expansion alongside eventual margin improvement and substantial monetisation of its AI and developer platform.
What are the biggest risks facing Cloudflare through 2027?
Valuation is arguably the most immediate investment risk because a market capitalisation above $100 billion already assumes considerable future success. Cloudflare could continue growing at healthy rates and still experience significant share-price pressure if expansion falls below expectations or investors become less willing to pay exceptionally high revenue multiples for long-duration technology growth.
Gross-margin trends warrant similar attention. Cloudflare is spending more on third-party technology services, network capacity, colocation infrastructure and servers while simultaneously expanding into compute-intensive developer and artificial intelligence workloads. Cloudflare itself identifies uninterrupted network operation and the prevention of serious errors or defects as material business risks.
Competition stretches across virtually every part of Cloudflare’s portfolio, while the workforce restructuring adds another execution variable. Cloudflare is attempting to reduce organisational complexity while integrating Replicate and VoidZero, expanding enterprise security, building AI infrastructure and continuing to grow its global network. Achieving those objectives simultaneously will require the anticipated productivity gains from its AI-first operating model to translate into real execution rather than simply lower headcount.
The capital structure also deserves scrutiny. Cloudflare already has convertible notes outstanding, substantial stock-based compensation and more than $1 billion of unrecognised equity compensation, while it is now seeking another $2.175 billion of convertible financing with potential upside to $2.5 billion. Capped calls can reduce portions of eventual dilution, but they do not remove the need for investors to assess the longer-term economic impact of equity-linked financing.

Neither development guarantees future earnings, but both increase Cloudflare’s capacity to compete across larger and more complex markets.
The financial evidence nevertheless shows that the investment thesis remains unfinished. Cloudflare is still GAAP loss-making, gross margins have compressed, stock-based compensation remains substantial and the expansion into AI infrastructure requires continuing investment. An equity valuation above $100 billion against less than $3 billion of expected 2026 revenue means investors are already paying for a considerable portion of the future growth management hopes to deliver.
Our assessment is that Cloudflare possesses one of the more unusual strategic assets in enterprise technology: a globally distributed network that simultaneously carries internet traffic, generates security intelligence and provides infrastructure on which developers can build applications. The growth of AI agents and machine-to-machine traffic could make that architecture substantially more valuable if the internet increasingly shifts toward automated software interacting continuously with other software.
Whether NET can justify its valuation will ultimately depend on several years of execution rather than another strong quarter. Large enterprises must continue consolidating security and networking workloads onto Cloudflare, Workers needs to convert developer adoption into substantial revenue, AI services must scale without permanently eroding gross margins, and the workforce restructuring needs to deliver real operating leverage without damaging product innovation or customer service.
Cloudflare has already demonstrated that it can expand far beyond protecting websites. The next test is considerably larger: proving that the same network can become one of the foundational infrastructure layers for an internet increasingly shaped by artificial intelligence, autonomous agents and machine-generated traffic.
