Bolloré Group to sell Bolloré Logistics to CMA CGM Group for €4.6bn

French conglomerate Bolloré Group has announced the signing of a share purchase agreement to sell 100% of Bolloré Logistics to the CMA CGM Group, a French shipping and logistics company, for €4.65 billion.

This agreement comes after the completion of information and consultation procedures with relevant staff representative bodies and the exercise of the put option received on 8 May 2023.

However, the completion of the sale is still subject to obtaining antitrust and foreign investment clearances in the relevant jurisdictions.
In addition, the Bolloré Group has confirmed the implementation of a contingent earn-out mechanism of €0.25 for each Bolloré SE share tendered to the simplified cash tender offer of Bolloré SE on its own shares. This offer closed on 30 May 2023. The contingent earn-out will be paid if the sale of Bolloré Logistics is completed according to the agreed terms.
